Terms of service

These terms govern the use of the Kandyo and Kandyo Ads applications (the "Services") provided by [COMPANY NAME], [ADDRESS], VAT [VAT NUMBER] ("Kandyo"). By using the Services you accept these terms. The Services are intended for businesses and professionals selling on Amazon; they are not aimed at consumers.
1. The service
Kandyo provides tools for profit analysis, cash, inventory and tax management, and Amazon advertising management, based on the data you authorize us to read from your Amazon account through the official APIs. The Services are provided on subscription, according to the chosen plan.
2. Account and security
You are responsible for keeping your credentials confidential and for what happens with your account. You must enable two-factor authentication when available and notify us immediately of unauthorized access. You may create additional users with limited roles: you are responsible for their use of the Services as well.
3. Amazon connection
You connect your Amazon account through "Login with Amazon". You declare that you have the right to authorize access to that data and to comply with Amazon's terms (including the Selling Partner API and Amazon Ads API policies). Kandyo is not affiliated with Amazon. You can revoke the authorization at any time from Seller Central: from then on data is no longer updated.
4. Kandyo Ads and automated actions
Kandyo Ads can create, modify, pause and archive advertising campaigns and change bids and budgets on your Amazon Ads account only if you enable automation. Until then it produces recommendations. Automations operate within the limits you set (minimum and maximum bids, budgets, global switch) and every change is logged. Verifying settings and the advertising costs charged by Amazon remain your responsibility.
5. Data and privacy
Data processing is described in the Privacy policy, which is part of these terms. For your end customers' personal data you are the controller and Kandyo the processor: on request we provide the agreement under art. 28 GDPR. Aggregated sales data is yours; you grant us only the license needed to provide the Services.
6. Pricing and payments
Prices depend on the plan, monthly order volume and active modules, and are shown at subscription time. Subscriptions renew automatically until cancelled, which you can do at any time with effect at the end of the period. We may change prices with at least 30 days' notice.
7. Acceptable use
You may not use the Services for unlawful activities, to violate Amazon's terms, to access other users' data, to overload the systems or to copy, resell or decompile the software. We may suspend the account in case of violation, notifying you when possible.
8. Availability and limits
We work to keep the Services available and up to date, but cannot guarantee absence of interruptions: we also depend on Amazon's APIs, their limits and their changes. The data shown is a processing of Amazon data and of the costs you enter: commercial, tax and advertising decisions remain yours, and your advisor remains necessary for tax compliance.
9. Liability
To the extent permitted by law, Kandyo's total liability for any damage arising from the Services is limited to the amounts you paid us in the 12 months preceding the event. We are not liable for indirect losses, lost profits or advertising costs incurred on Amazon. Nothing in these terms limits liability for wilful misconduct or gross negligence.
10. Intellectual property
The software, the Kandyo and Kandyo Ads trademarks and the content of the Services belong to Kandyo or its licensors. We grant you a non-exclusive, non-transferable license to use the Services during the subscription.
11. Term and closure
You can close your account at any time from the settings or by writing to us. On closure we delete your data as described in the Privacy policy. We may close the account with 30 days' notice, or immediately in case of serious violation.
12. Changes and governing law
We may update these terms; material changes are communicated at least 30 days in advance. Italian law applies; courts of [CITY] have jurisdiction, subject to mandatory rules.
